Why is the Academy collecting proxies?
The Academy recently became informed through news articles and online message boards that a few members planned to collect proxies to oppose the Academy's Nominating Committee's nominees for regular director positions. We cannot speak for these members. However, the Academy's Nominating Committee engaged in an extensive process to present to the members a slate that consists of four highly respected actuaries in their areas of practice. The nominees are exceptionally well qualified to help lead the Academy into 2010 and beyond. The Academy is collecting proxies from members, who wish to support the Academy's Nominating Committee's slate of candidates, but will not be in attendance on Oct. 26.
This is an unlimited proxy-what is Steve Lehmann's position?
As the chairperson of the Academy's Nominating Committee, Steve Lehmann supports the committee's nominees for the regular director positions.
Why doesn't the Academy have an election?
Since its inception, the Academy has always held elections of regular directors at the Annual Meeting. This is the time and place for election of regular directors that is established in and required by the Academy bylaws. Members who cannot attend the annual meeting in person have the ability to assign their proxy
The existence of a Nominating Committee is to ensure that practice areas are evenly represented on the Academy's board of directors and to ensure that board members have experience and familiarity with the Academy's processes and practice councils.
What are the nominees' positions on the education/examination issues?
Education and examination issues are under the jurisdiction of the Society of Actuaries and Casualty Actuarial Society. The Academy is responsible for public policy, professionalism, and communication.
Will the Academy solicit proxies on behalf of those opposing the nominating committee's slate of candidates?
The Academy does not intend to solicit proxies in opposition to the nominees.
I plan to give my proxy to someone other than Steve Lehmann -how should I do this?
Academy members who cannot attend the annual meeting in person have the ability to assign their proxy to any Academy member who will be present to act on his/her behalf. The proxy form should be signed and dated. The Academy will need to validate the proxy to ascertain that the person is an Academy member. Anyone who has collected proxies with the intention of voting them at the Annual Meeting should provide copies to the Academy for purposes of verification by 5 pm ET on Saturday, October 24, 2009. To submit these proxies, please (1) return a scanned version of the signed document to the Academy at this email address: thirdpartyproxies@actuary.org or (2) fax it to: 202.872.1948.
What should members carrying proxies for other members do?
If you are carrying a proxy from another member, please provide copies to the Academy for purposes of verification by 5 pm ET on Saturday, October 24, 2009. No. Proxies will have to be verified.
Where can I find information on the Governance Task Force?
Information on the Governance Task Force can be found within the Academy's Yearbook. The task force is a standing presidential committee that was established to review and improve the governance structure of the Academy to fulfill the Academy's mission and strategic plan. The task force is charged to seriously and thoughtfully consider governance changes to preserve the long-term best interests of the Academy.
Do Academy members vote for directors?
Members only vote for the class of directors known as "regular Directors." Per the Academy's Bylaws, Article III, Section 2B, "Elected Directors who are not special Directors shall be regular Directors. Each year the members shall elect a number of regular Directors to bring the total number of elected Directors to 17. Candidates receiving the greatest number of votes shall be elected."
Can the Academy's Bylaws be amended during the Annual Meeting?
The Bylaws cannot be amended during the Annual Meeting. The only business that occurs during the Annual Meeting is the election of regular directors. Amendments to the Bylaws must be made in accordance with Article XV.
